Amanda's Foundered Friends (AFF)
Minutes from first meeting 7/31/2009
Attending the meeting were Sheila Campbell, Andrea Dufford, Mitzi Calvert, Heather Redding, and Dana Lysons by cell phone.
Agenda of first meeting was in discussion of Bylaws in order to start the 501 (c)(3) status.
First business taken care of was to delegate positions of President, Secretary and Treasurer. Sheila volunteered for the position of President which was agreed upon by everyone else. She then asked for volunteers to be Secretary and Treasurer. After understanding what each position entailed Mitzi took the position of Secretary, for Treasurer- Dana took that position. Voted and agreed upon by everyone.
First discussed the possibility of painting t-shirts to sell for organization. Mitzi's friend Cheryl Phillips has offered to make a silk screen with Logo on it so we can paint t-shirts. Dana is in the process of designing a logo. Once we have a logo Cheryl will make silk screen.
Bylaws discussion began asking is everyone ok with the layout? Began a detailed look at each section of the Bylaws. Everyone agreed to the fact that first Article Name and Purpose section one was fine, second section was too wordy and Dana did a revise on that. Article II- Members was discussed. No members at this time. Article III Sections under Board of Directors were as follows: 1. Good. 2. Terms length changed from 3 years to 1 year for board offices. 3. Good. 4. Good. 5. Meetings were decided to be held monthly until further notice. 6. Took Roberts Rule out of the Paragraph. 7. Good. 8. Good. 9. Good. Article IV- Dissolution: Section 1 Sheila sent Dana verbiage from Article of Dissolution in AFF's Articles of Incorporation. Article V- Amendment of Bylaws good.
Further discussion of opening a bank account with Grand Valley National Bank. Sheila and Mitzi to do this.
Discussed getting Donations now, Dana will set up button on website with a Pay Pal account to collect donations there.
Dana will set up a Facebook account and Twitter account for AFF.
Decision to have next meeting on August 21st at 6pm. Mitzi's birthday with cake and a discussion about fundraisers!
